Welcome to Upoyi, the app discovery platform that helps users explore, compare, and evaluate software offerings distributed through third-party stores. By accessing or using the Upoyi platform (the "Platform"), you agree to these Terms of Service (the "Terms") and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

1. Acceptance of Terms

By using the Platform, you affirm that you are of legal age to form a binding contract in your jurisdiction (typically 18 years or older) and that you have the right to use the Platform. You agree to comply with these Terms and to comply with all applicable laws and regulations. Upoyi may modify or update the Platform or these Terms at any time, and material changes will be communicated as required by law. Your continued use of the Platform after any modified Terms constitutes your binding acceptance of the updated Terms.

2. Intellectual Property

All content and technology available through the Platform, including but not limited to branding, graphics, logos, interface design, software, underlying code, and data compilations (collectively, the “Upoyi IP”), are owned by Upoyi or its licensors and are protected by applicable intellectual property laws. You may access and use the Platform for its intended purposes, but you may not copy, reproduce, distribute, modify, create derivative works of, or otherwise exploit the Upoyi IP except as expressly authorized by these Terms or with Upoyi’s prior written consent.

User Content. You may submit content to the Platform (for example, reviews, ratings, comments, or other materials) ("User Content"). By posting User Content, you grant Upoyi a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, perform, display, and create derivative works of such content, in connection with operating and promoting the Platform. You warrant that you own or control all rights to your User Content and that it does not infringe the rights of any third party. You may remove your User Content at any time, subject to possible backups and the retention policies described in our Privacy Policy.

3. Third-Party Links and Google Play Hosting

The Platform may contain links to third-party websites, applications, and services. Some apps listed on Upoyi are hosted on Google Play and are not hosted directly on Upoyi’s servers or infrastructure. Upoyi does not control, endorse, or assume responsibility for these third-party apps, content, or services, and your use of them is governed by the terms and privacy policies of those third parties (including Google Play). Any interaction you have with linked third-party products is at your own risk, and Upoyi disclaims any liability arising from such interactions. We provide links for convenience and information only, and the inclusion of any link does not imply endorsement by Upoyi.

4. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” UPoyi AND ITS AFFILIATES MAKE NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE PLATFORM OR ITS CONTENT, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AVAILABILITY, ACCURACY, OR NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, UPoyi DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION OBTAINED BY YOU FROM UPoyi OR THROUGH THE PLATFORM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UPoyi, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM OR THESE TERMS. THE AGGREGATE LIABILITY OF UPoyi FOR ALL CLAIMS ARISING UNDER OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF USD 100 OR THE AMOUNTS PAID, IF ANY, BY YOU TO UPoyi FOR THE PLATFORM IN THE SIXTEEN (16) MONTHS PRECEDING THE CLAIM. THIS LIMITATION OF LIABILITY APPLIES TO THE FULLEST EXTENT PERMITTED BY LAW, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, OR OTHER LEGAL THEORY.

6. Indemnification

You agree to indemnify, defend, and hold harmless Upoyi and its officers, directors, employees, and affiliates from and against any claims, losses, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from your access to or use of the Platform, your User Content, your violation of these Terms, or your violation of any rights of a third party.

7. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware. The foregoing does not preclude Upoyi from seeking equitable relief in any competent court to protect its intellectual property or confidential information.

8. Termination

Upoyi may suspend or terminate your access to the Platform at any time for any reason, including violations of these Terms, with or without notice. Upon termination, the rights granted to you under these Terms will cease, you must immediately discontinue use of the Platform, and you may be restricted from accessing the Platform in the future. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, and limitations of liability.

9. Miscellaneous

If any provision of these Terms is found to be unenforceable, such provision shall be modified to reflect the parties’ intention, and all remaining provisions shall remain in full force and effect. These Terms do not create any agency, partnership, or joint venture between you and Upoyi. You may not assign or transfer these Terms without Upoyi’s prior written consent, and any attempt to do so without consent will be void. Upoyi may assign these Terms without restriction. Headings are for convenience only and have no legal effect.

10. Communications and Notices

We may provide notices to you via email, platform notices, or other reasonable means. It is your responsibility to maintain accurate contact information in your Upoyi account.

11. Entire Agreement

These Terms, together with our Privacy Policy and any applicable policies incorporated by reference, constitute the entire agreement between you and Upoyi regarding the Platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties regarding the Platform.
